Position: Corporate Paralegal
Location: Memphis, TN 38125
Term: 4 months

Day-to-Day Responsibilities:
  • Provide support to the Corporate Business Affairs Legal Department to ensure continuity and maintenance of legal entities and legal processes on behalf of the Company.
  • Prepare and file business entity formation, qualification, dissolution, and withdrawals for US entities.
  • Draft resolutions for stakeholders related to the corporate entity.
  • Prepare incumbency certificates share certificates/registers.
  • Manage the legal databases for all corporate entities including minute books.
  • Create the minutes at the organization and governance meeting.
  • Partner on the preparation and filing of annual reports for US entities.
  • Research corporate entities and obtain documentation online or via other means from various state agencies.
  • Analyze and interpret state and local statutes.
  • Work with internal company departments for information related to Know Your Client (KYC) requests, provides org chart updates, and assists with other related research projects.
  • Maintain and distribute master company entity org charts.
  • Provide corporate transaction support.
  • Act as liaison with IP outside counsel on various corporate and transactional matters.
  • Provide direction and project management support as needed to other paralegals and support staff.
  • Monitor corporate governance trends and best practices.
  • Perform other duties as assigned.
  • Support the organization's quality program(s).

  • PC literate, including Microsoft Office products.
